Post-Closing Corporate Counsel: Turning Closing Obligations Into an Action Plan

Closing the deal is not the end of the transaction. In many M&A transactions, some of the most important—and easily overlooked—obligations arise after closing. Without disciplined post-closing organization, seemingly minor oversights can become costly covenant breaches, defaults, missed rights, or other avoidable liabilities. A well-structured post-closing checklist translates contractual obligations into an actionable plan, with clear ownership, deadlines, and accountability.
Among the items that should be addressed:
- Financing covenants. Identify and track affirmative covenants—such as financial reporting, compliance certificates, insurance, and required notices—and negative covenants restricting indebtedness, liens, distributions, investments, acquisitions, and other actions. Establish clear responsibility for monitoring compliance, with particular attention to financial covenant testing dates and lender-consent requirements.
- Notice requirements. Track notice obligations under credit agreements and other material contracts, including required recipients, delivery methods, and deadlines. A missed notice can have consequences well beyond an administrative oversight.
- Post-closing transition. Assign responsibility for remaining third-party consents, regulatory filings, employee and benefits matters, licenses, customer and vendor communications, systems and data migration, and other integration items.
- Economic and contingent obligations. Calendar earnouts, purchase-price adjustments, escrow releases, indemnification deadlines, and other post-closing payment or claim procedures.
Ultimately, a post-closing checklist is a risk-management tool that helps ensure important obligations do not get lost once the transaction team moves on to the next deal.
